Business dissolution services:

  • Consulting on procedures, documents, and processes for dissolution of enterprises;
  • Consulting on issues related to labour law, tax law such as asset liquidation, receivable and payable debts (Insurance, taxes, employees, customers…)
  • Consulting on the rights and obligations of the legal representative and the Company’s members/shareholders;
  • Consulting on preparing information disclosure documents and posting announcements of the Company’s dissolution;
  • Representing the Company to submit dissolution documents and directly work with state management agencies;
  • Implementing the Enterprise code closing, return the seal and seal sample certificate, and terminate operations.

Business acquisition/capital transfer services:

  • Checking legal documents: Establishment documents, Investment certificates, business registration certificates, and other related documents;
  • Documents on capital contribution, increase/decrease in capital contribution during production and business process;
  • Estimating enterprise value (Net): determine the rights and obligations of investors;

  • Implementing procedures to adjust Investment Project (IRC), Enterprise Registration Certificate (ERC) after merger/split;

Financial due dilligence (FDD) within limited scope:

  • Checking detailed information of transactions, identify and quantify financial risks encountered, proposing improvements and/or remedies;
  • Analyzing and evaluating the Company’s financial situation, reviewing important transactions, unusual items, and accounting policy consistency; Analyzing factors driving increased revenue and profits; analysis of investments by stakeholders; identify/verify current assets;
  • Reviewing important claims, pending litigation or disadvantages to the Company; identify subsequent important events; status of tax complaint disputes;
  • Reviewing transactions with related parties, consider the possibility of recovery/payment;
  • Commenting on assets owned by the Company based on accounting residual value and applied accounting policies.

Tax due diligence (TDD) within limited scope:

  • Considering compliance with tax principles that the Company is applying; Estimating the possibility of fines, arrears and risks;
  • Checking tax debts, evaluate risks that may occur in the future;
  • Assessing potential tax risks due to changes in legal policies.
